Job Description Job Description A nationally recognized law firm in New York, NY is seeking a highly motivated Corporate Paralegal to join its Emerging Companies & Venture Capital group. This role involves assisting attorneys and clients with entity formations, corporate governance, securities filings, venture capital financings, and mergers & acquisitions. Key Responsibilities: Draft and prepare formations, qualifications, conversions, dissolutions, board resolutions, and stockholder actions. Maintain corporate records, capitalization tables, equity incentive plans, and securities filings. Conduct due diligence and assist with venture capital financings and M&A transactions. Research federal and state securities laws, including “blue sky” state compliance. Manage closing processes, data rooms, and document preparation. Ensure deadlines are met and maintain accurate time records. Qualifications: Bachelor's degree required; paralegal certificate preferred. At least two years of corporate paralegal experience in a law firm setting. Proficiency in Carta and other corporate governance platforms. Strong organizational skills and attention to detail. Experience with Delaware corporate law, federal and state securities laws, and equity incentive plan administration preferred. Familiarity with Google Docs, Box, Excel, DocuSign, and diligence data rooms is a plus. Compensation & Benefits: Competitive salary based on experience (New York range: $59,050 – $118,450 annually).
