Job Description

Location: Paris We are seeking candidates with 3–5 years of experience in M&A, investment banking, or corporate finance, ideally with exposure to energy or infrastructure transactions. Candidates should have strong financial modelling capabilities, comfort with project finance structures, and a clear understanding of execution processes in live M&A deals. Our client is a leading independent M&A advisory boutique, known for its sector expertise and execution track record in renewable energy and clean infrastructure. The firm advises corporates, financial sponsors, and infrastructure investors on strategic transactions across Europe, with particular focus on mid-market cross-border deals involving solar, wind, storage, hydrogen, and grid infrastructure. The Associate will join the firm’s Paris office and be fully integrated into transaction teams, supporting end-to-end deal execution. The role offers exposure to both traditional M&A and infrastructure-style processes and is particularly suited to candidates looking to deepen their exposure in energy transition sectors through active involvement in both corporate and asset-level deals. Key Responsibilities: Develop and maintain complex financial models for both asset-level and corporate M&A transactions across the renewable energy sector, incorporating project-specific assumptions, financing structures, sensitivity analyses, and scenario planning. Conduct detailed valuation work using multiple methodologies including DCF (levered and unlevered), precedent transactions, trading comparables, and project finance-based approaches (e.g., adjusted IRR, DSCR-based sizing, lifecycle cash flows). Lead execution workstreams across live transactions—managing Q&A, data room oversight, due diligence coordination, and inputs across legal, tax, and technical streams; ensure process integrity and timeline management throughout. Prepare transaction documentation and client deliverables , including teasers, information memoranda, management presentations, board materials, and valuation committee papers; tailor materials to strategic and financial investor audiences. Engage with clients, advisors, and counterparties , representing the firm in meetings and negotiations, and ensuring alignment across all stakeholders through the transaction lifecycle. Coordinate with legal counsel, technical consultants, and financial advisors , reviewing SPA/SPA-related terms, shareholder agreements, and bankability assessments, particularly in the context of infrastructure-style deals. Support origination and sector research , maintaining market intelligence on regulatory frameworks, auction systems (e.g., CRE, CfD, PPA structures), developer pipelines, and investor appetite across European jurisdictions. Contribute to strategic coverage efforts , including mapping of key players (developers, IPPs, funds, utilities), and preparation of tailored pitches, sector deep-dives, and competitive benchmarking. Qualifications: 3–5 years of experience in M&A advisory, investment banking, corporate development, or infrastructure private equity; direct exposure to transactions in energy, infrastructure, or power sectors is strongly preferred. Advanced financial modelling skills , including full LBO/project finance model builds, waterfall analysis, IRR/NPV sensitivity modelling, and debt sizing methodologies (e.g., sculpting based on DSCR thresholds). Solid understanding of transaction structuring in the context of energy assets, including SPV-based structures, holdco/OpCo splits, joint venture arrangements, and minority/majority control transactions. Execution experience across multiple deal phases , including data room management, due diligence coordination, term sheet negotiation, and SPA documentation. Fluency in French and English (written and spoken) is required; additional European languages (e.g., Spanish, German, Italian) are a plus given the cross-border nature of mandates. Strong communication and presentation skills , with ability to distill complex technical material into concise internal and client-facing outputs. Demonstrated interest in the energy transition , with familiarity around regulatory developments, merchant vs. contracted revenues, and investor trends in the renewable and clean tech space.
