Lawyer - Corporate M&A

Social network you want to login/join with: For our client, a prestigious international law firm, we are looking for a Corporate and M&A Lawyer . The ideal candidate will have proven experience in corporate law, M&A transactions, and general commercial legal matters, with a strong understanding of both Italian and international legal frameworks. Key Responsibilities: Advise clients on all aspects of corporate law, with a focus on mergers and acquisitions, joint ventures, and corporate governance; Draft, review, and negotiate a wide range of corporate documents, including SPA, shareholders’ agreements, NDAs, and MoUs; Conduct legal due diligence and risk assessments for M&A transactions; Support clients through the full deal lifecycle, from structuring to post-closing integration; Liaise with internal and external stakeholders, including financial advisors, consultants, and regulatory authorities; Ensure compliance with all applicable laws and regulations; Stay updated on legal developments in corporate and commercial law. Requirements: Qualification to practice law in Italy; Minimum 3–5 years of experience in corporate law and M&A, ideally within a law firm or corporate legal department; Excellent knowledge of Italian corporate law; knowledge of international legal principles is a plus; Strong drafting and negotiation skills; Fluent in Italian and English, both written and spoken; Excellent analytical, organizational, and communication skills; Ability to work independently and as part of a team in a fast-paced environment.
